1. Proposals, Quotes, and Project Initiation Validity of Quotes:
Written quotes and project proposals are valid for 30 days from the date of issue. After 30 days, we reserve the right to adjust pricing based on current studio rates and availability.

Project Initiation:

A project is officially initiated only after we receive:

A signed Service Agreement or written confirmation of proposal acceptance.

The cleared initial deposit payment (as detailed in Section 2).

All initial client-furnished briefs, materials, and guidelines necessary to begin development.

2. Fees, Payments, and Billing
Payment Structure:
Unless explicitly agreed otherwise in writing, all projects require a non-refundable 50% deposit before work commences. The remaining 50% balance is due immediately upon final project approval and prior to the release of any final high-resolution deliverable source files.

Milestone Payments:
For larger, multi-phase branding or long-term design projects, payment schedules may be broken into custom milestones as outlined in the specific project proposal.

Late Fees:
Payments not received within 14 days of the invoice due date will accrue a late fee of 1.5% per month on the outstanding balance.

Project Suspension: We reserve the right to suspend all active design work, withholding drafts and deliverables, if any invoice remains unpaid past its due date.

3. Client Responsibilities and Assets
Content Provision:
The Client is solely responsible for providing all necessary text, copy, imagery, corporate trademarks, and licensed fonts required for the project. Delays in providing these assets will result in a corresponding extension of the project timeline.

Licensing and Indemnification:
You guarantee that all materials, assets, and media provided to us are either owned by you or appropriately licensed. The Client agrees to indemnify, defend, and hold harmless Vector Creative Designs from any and all legal claims, copyright infringements, or trademark disputes arising from assets provided by the Client.

4. Revisions, Proofing, and Scope Creep Revision Allocation:
Unless specified otherwise in your project proposal, design quotes include up to three (3) rounds of revisions during the conceptual stage.

Scope Creep:
Revisions requested beyond the allocated rounds, or requests that fundamentally alter the approved project brief, will be billed separately at our standard hourly studio rate of  R180/hour. You will be notified of additional fees before extra work begins.

Final Proofreading Approval:
We take great care to ensure accuracy; however, the Client bears final responsibility for proofreading all layouts, copy, text, and technical specifications before printing or production. We are not liable for any errors (typographical, color variance, alignment, etc.) discovered after the Client has given final written or electronic approval.

5. Intellectual Property and Copyright Transfer Ownership of Drafts:
We retain full intellectual property and ownership rights over all preliminary concepts, rejected drafts, working project structures, and sketches. You may not use, modify, or distribute any concepts or iterations that were not selected as the final approved design deliverable.

Copyright Transfer:
Upon receipt of full and final payment for the project, full copyright ownership of the final approved design deliverable is officially transferred to the Client.

Studio Portfolio Rights:
We retain a perpetual, royalty-free right to display the final designs, concepts, and project case studies within our digital portfolio, website, social media, and self-promotional marketing materials, unless a strict non-disclosure agreement (NDA) has been signed prior to project initiation.

6. Project Cancellation and Termination Kill Fee:
Either party may terminate a project at any time upon written notice. If a project is canceled by the Client before completion, the initial 50% deposit will be retained by us as a “Kill Fee” to cover studio time and resources allocated up to that point.

Pro-Rata Billing: If the volume of work completed by our studio at the time of cancellation exceeds the value of the initial deposit, the Client will be invoiced pro-rata for the remaining billable design hours or milestones achieved up to the moment of cancellation.

Asset Forfeiture: Upon project cancellation, the Client forfeits all rights to use any conceptual drafts, ideas, or files presented during the project lifecycle. All design files must be destroyed or returned to us immediately.

7. Limitation of Liability
No Incidental Damages: Vector Creative Designs will not be liable to the Client or any third party for any incidental, indirect, consequential, special, or punitive damages (including loss of profits, business interruption, or print/production costs) arising from the use of or inability to use our design deliverables.

Liability Cap: To the maximum extent permitted by applicable law, our total cumulative liability for any claim arising out of or related to this agreement shall not exceed the total amount actually paid by the Client to us for the specific project in question.

8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our business is officially registered, without regard to conflict of law principles. Any legal disputes arising from these terms or our services shall be settled via good-faith negotiation, mediation, or within the appropriate courts of that jurisdiction.
